1. Introduction

Welcome to BlckFlow ("we," "our," or "us"). By purchasing our software (the "Co-Pilot License") or our services ("Fully Managed"), you agree to these Terms. If you do not agree, do not use our services.

2. Platform Risk & Liability Disclaimer

BlckFlow is an independent content management tool and is NOT affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or Threads.

You acknowledge that utilizing third-party publishing and API tools on social media platforms requires adherence to the respective platform's rules. While BlckFlow operates using official API integrations and strictly adheres to platform rate limits, we cannot guarantee that your account will not be flagged or restricted by Threads due to your specific content or posting frequency.

By using BlckFlow, you assume 100% responsibility for the safety and compliance of your social media account. We are not liable for any account suspensions, bans, or loss of data.

3. Acceptable Use & Anti-Spam Policy

To maintain our API access and ensure the integrity of the platforms we integrate with, you agree NOT to use BlckFlow to:

  • Generate or publish spam, unsolicited promotions, or repetitive content.
  • Publish content that violates Meta's Community Guidelines or Threads' Terms of Use (including hate speech, harassment, or illegal content).
  • Attempt to reverse-engineer our API integrations or bypass our internal rate limits.

*Violation of this policy will result in immediate termination of your BlckFlow account without a refund, and your data will be purged from our systems.

4. The 14-Day Satisfaction Guarantee

For our self-service SaaS tiers (Creator, Professional, Agency), we offer a 14-Day Satisfaction Guarantee. If you are not satisfied with the workflow automation and analytics provided by BlckFlow within your first 14 days of use, we will refund your subscription.

FAIR USE & DISQUALIFICATION CRITERIA:

Because AI generation requires expensive API server costs, this guarantee is strictly conditional. You are DISQUALIFIED from a refund if:

  • You have consumed more than 20% of your monthly AI Generation or Analysis limits.
  • You violate our Acceptable Use & Anti-Spam Policy.
  • Your account is flagged by Threads/Meta for violating their Community Guidelines.

*Fully Managed Services ($577/mo) are subject to separate custom performance agreements signed during onboarding and are not covered by this standard 14-day SaaS software guarantee.

5. Payments, Consumption & Chargebacks

  • Billing & Cancellation: Subscriptions are billed automatically on a monthly or annual basis. You may cancel at any time via your dashboard. Cancellations take effect at the end of the current billing cycle. Failure to cancel prior to renewal does not qualify you for a refund.
  • Consumption of Digital Goods: BlckFlow provides access to computational resources (AI LLMs). By executing an AI generation, workflow, or analytics scan, you acknowledge that you have actively consumed non-recoverable digital goods and API resources.
  • Dispute Resolution First: You agree to contact our support team to attempt to resolve any billing issue before filing a dispute or chargeback with your bank. Filing a fraudulent chargeback after consuming API resources will result in an immediate, permanent ban and may be sent to collections.

6. AI Generated Content

You own the intellectual property rights to all content generated by BlckFlow for your account. However, you are responsible for reviewing AI outputs before publishing. BlckFlow is not liable for any content posted that may be deemed offensive, inaccurate, or legally non-compliant.

7. External Platform Dependencies

You acknowledge that BlckFlow interacts with the Threads platform, which is owned by a third party (Meta). We have no control over Threads' internal algorithms, API availability, or Terms of Service updates.

Service Interruptions:

In the event that Threads updates their platform in a way that breaks BlckFlow's functionality ("Breaking Change"), we reserve the right to pause services for up to 30 days to deploy a fix. Such pauses do NOT constitute a breach of contract and are not eligible for refunds, provided we are actively working on a resolution.

8. Indemnification

You agree to indemnify, defend, and hold harmless Resonance Logic, LLC, its officers, directors, and employees from any claims, liabilities, damages, and expenses (including legal fees) arising from:

  • Your use of the BlckFlow platform.
  • Any content generated by the AI and posted to your account (including but not limited to defamation, copyright infringement, or hate speech).
  • Your violation of the Threads/Meta Terms of Service.

*You are the "Publisher" of all content. BlckFlow is merely the "Tool". You retain full editorial control and responsibility.

9. Mandatory Arbitration & Class Action Waiver

READ THIS CAREFULLY.

All disputes arising from these Terms or your use of BlckFlow shall be resolved through binding arbitration on an individual basis. You expressly waive your right to participate in a class action lawsuit or class-wide arbitration.

Arbitration shall be conducted in the State of Delaware, USA.

10. Digital Product Policy

No Refunds on Downloads:

Due to the nature of digital content, all sales of downloadable files (including the "Decoding Threads Routine To Go Viral" PDF) are final and non-refundable once the download link has been sent to your email.

Personal Use Only:

The PDF is licensed for your personal use only. You may not resell, redistribute, or publish the content. We embed invisible watermarks in our files to track unauthorized leaks.
